General Terms And Condition Policy 1. LEGAL FRAMEWORK, REGULATORY COMPLIANCE, AND CONTRACTUAL BINDING FORCE This comprehensive legal instrument represents a definitive, legally binding digital agreement that has been formally executed between the operating entity, hereinafter referred to as the “Company,” and any individual or corporate entity, hereinafter referred to as the “User,” who accesses, browses, registers, or otherwise engages with the Company’s digital interface, applications, application programming interfaces (APIs), or related services. By initiating any form of interaction with the platform, the User unequivocally provides their unconditional, irrevocable, and absolute consent to be governed by every term, condition, covenant, restriction, liability limitation, and operational protocol detailed within this policy document. This document is purposefully crafted to ensure maximum enforceable compliance with relevant legal frameworks, including but not limited to the United Kingdom Electronic Commerce Regulations, the UK Consumer Rights Act 2015, the European Union Digital Services Act (DSA), and the EU Digital Markets Act (DMA). Should the User disagree with or not explicitly agree to each regulatory provision and structural mandate outlined herein, they are compelled to immediately cease all forms of interaction with the platform, terminate their electronic session, and promptly delete any related localized application data or cache residing on their device. In accordance with the contemporary statutory frameworks established within the European Single Market and the legal landscape of the post-Brexit United Kingdom, electronic agreements, such as the one presented here, hold the same legal validity and enforceability as traditional, physically executed agreements. This ensures that both parties have the same rights and responsibilities, regardless of the medium through which the agreement is executed. This policy also serves to establish a strict preventative barrier against jurisdictional ambiguity. It designates a specific baseline venue for any potential legal disputes and delineates clear and transparent guidelines designed to prevent unauthorized exploitation of resources available within the system. Every digital transaction undertaken, every automated data collection process initiated, each API invocation, and all communication exchanges executed through our infrastructure are explicitly governed by the comprehensive legal framework contained within this document. This governance scheme is designed to ensure absolute corporate indemnity for the Company while establishing clear metrics for risk allocation and responsibilities between the contracting parties. The Company retains the unilateral right to update, modify, or completely overhaul this document at its sole discretion, reflecting any changes in legal requirements or business operations. The User’s ongoing utilization of the digital interface, after such updates are made available, signifies their continuous, rolling ratification and acceptance of the most current version of this agreement. Therefore, it is the User’s responsibility to review this document periodically to remain informed about its provisions and any changes that may occur. 2. JURISDICTIONAL ALIGNMENT, CONSUMER RIGHTS PROTECTION, AND INTERNATIONAL COMPLIANCE In compliance with the rigorous stipulations outlined in the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts Regulations, this section aims to provide a detailed overview of the operational landscape surrounding our platform. It is crucial to note that commercial entities that choose to engage with our services are governed by specific B2B commercial disclaimers, which outline the risks and limitations inherent in their business interactions. In contrast, individuals using the platform for personal and non-commercial purposes are recognized as Consumers and are afforded certain protections under applicable consumer laws. We affirm that none of the provisions contained in these general terms will unlawfully restrict, exclude, or modify any statutory protections that are not permitted to be waived by contract according to local mandatory consumer protection regulations. We take consumer rights seriously and operate with a commitment to upholding these legal frameworks. The Company employs robust automated verification mechanisms designed to ensure that all user interactions on the platform adhere strictly to the provisions of the European Union General Data Protection Regulation (GDPR) as well as the UK Data Protection Act 2018. This commitment requires that any user transaction involving personal data is subject to our comprehensive Privacy Policy, which is integrated into these terms by reference and serves to further protect user information. In a bid to fortify our legal standing against potential cross-border jurisdictional disputes, all users accessing the platform from outside the primary operational jurisdiction acknowledge that they are intentionally opting into services characterized by a harmonized Anglo-European legal framework. By doing so, they waive any rights to claim protections under conflicting regional administrative regulations to the fullest extent authorized by existing judicial rulings. It is important to clarify that the platform is managed and operated from a centralized infrastructure that is meticulously optimized to comply with European financial regulations as well as stringent data safety standards. Moreover, users who access the platform from various international locations, including but not limited to the United States, Asia-Pacific regions, and Latin America, do so at their own geopolitical risk. These users carry the full responsibility of ensuring that their activities are compliant with local municipal laws, export control regulations, and economic sanctions policies enforced by entities such as the Office of Financial Sanctions Implementation (OFSI) in the UK and the Office of Foreign Assets Control (OFAC) in the United States. It is essential that every user be aware of the legal frameworks applicable to their jurisdiction to avoid any compliance issues. 3. ACCOUNT REGISTRATION, SECURITY PROTOCOLS, AND CREDENTIAL INTEGRITY To access specific premium interfaces, secure databases, or transaction engines, it is imperative for the User to successfully complete a mandatory registration protocol, which serves to establish an active digital profile within our system. This step is critical for enabling full functionality and user privileges. The User expressly agrees to provide accurate, current, and complete information during the registration process. This includes all necessary details such as legal names, contact information, and any relevant corporate details if applicable. It is essential for the User to update this information within twenty-four hours of any material change. Failure to provide truthful, up-to-date, or complete identification metrics constitutes a significant violation of this agreement. Such a breach grants the Company the right to immediately terminate the User’s access and account without prior notification or liability of any kind. The registration process requires the submission of verifiable identifiers that may include, but are not limited to, legal names, valid corporate registration numbers, reliable electronic mail addresses, and encrypted payment tokens. These identifiers are necessary not only for identity verification but also for compliance with security protocols. Credential management is the sole and non-transferable responsibility of the registered User. The account holder is required to implement robust cryptographic safeguards for their account. This entails the use of complex alphanumeric passwords and, where possible, enabling mandatory multi-factor authentication as supported by our system architecture. The User is strictly prohibited from disclosing, leasing, assigning, or transferring their authentication credentials to any third party under any circumstances. Any actions, transactions, data uploads, or financial obligations conducted through the User’s profile will be conclusively assumed to have been authorized by the User. Consequently, the User shall retain full liability for any associated consequences, including but not limited to financial or legal repercussions, even in cases where the profile may have been compromised due to negligence or failure to adhere to security protocols on the part of the User. In the event that the User detects any unauthorized access, cryptographic breach, or data exfiltration incident, it is vital that they immediately notify our security team via electronic communication. Prompt reporting allows us to take the necessary steps to mitigate any potential damage to both the User and the integrity of our platform. 4. ACCEPTABLE USE COVENANTS, INTELLECTUAL PROPERTY RIGHTS, AND LICENSING The complete structural architecture of our platform encompasses a wide range of components, including but not limited to source code, compiled algorithms, user interface designs, graphic elements, databases, textual assets, and proprietary methodologies. Collectively, these elements constitute the exclusive intellectual property of the Company or its authorized licensors. This intellectual property is robustly protected under various legal frameworks, including the UK Copyright, Designs and Patents Act of 1988, the European Union Directive on Copyright in the Digital Single Market, as well as numerous international treaties concerning intellectual property rights. The Company extends to the User a highly restricted, revocable, non-exclusive, non-transferable personal license. This license permits the User to access the system solely for its intended purpose, which is specified in the terms and conditions provided. The granting of this license is strictly contingent upon the User’s complete and unwavering compliance with these terms. It is important to note that this license does not confer any proprietary interest, equity stake, or transfer of ownership rights under any circumstances or for any reason. The User is explicitly prohibited from engaging in any actions that could undermine the integrity of our intellectual property, including but not limited to reverse engineering, decompilation, data scraping, data extraction, or automated harvesting of any sort, unless an explicit and physically signed commercial license has been obtained from our executive board. In addition, the User agrees not to employ any automated scripts, bots, spiders, or artificial intelligence models designed to parse, copy, or index any part of our proprietary systems. Any breach of this intellectual property covenant will result in an automatic and retroactive revocation of the user license. Consequently, all interactions deemed unlawful under the terms of this license will be invalidated, providing the Company grounds to pursue injunctive relief, as well as liquidated damages, in a court of competent jurisdiction. Furthermore, it is important to observe that any modifications made to our platform, derivative works developed based on our systems, or user-submitted feedback concerning the platform will automatically become the exclusive property of the Company upon their creation. The Company bears no obligation to provide financial compensation, royalties, or any form of attribution for such contributions. 5. TRANSACTIONAL FRAMEWORKS, PAYMENT COVENANTS, AND REFUND CLAUSES All financial transactions initiated through the platform are meticulously processed using encrypted networks provided by third-party payment processors. These processors operate in full compliance with the Payment Services Regulations (PSR) and adhere to the strict standards outlined in the EU Payment Services Directive (PSD2/PSD3) framework. This ensures that all transactions are conducted securely and efficiently. The User affirms that they possess the legal authority and capacity to utilize the chosen payment method. Additionally, the User guarantees that all billing information provided is accurate, complete, and valid. By confirming a transaction, the User hereby grants the Company permission to charge the designated payment account for the total specified amount. This amount includes any applicable Value Added Tax (VAT), processing fees, or import duties mandated by local fiscal regulations. It is important to note that the Company maintains no visibility over sensitive credit card or financial instrument details; such information is securely stored within highly fortified infrastructures that are fully compliant with PCI Data Security Standards (PCI-DSS). For services structured around subscription models or ongoing access, the User consents to an automated renewal process. This means that charges will be applied periodically on the exact anniversary of the User’s initial subscription, ensuring that service remains uninterrupted unless the User decides to cancel. In accordance with the EU Distance Selling regulations, consumers who possess a statutory right of withdrawal have a period of fourteen days from the date of their initial purchase to formally request a full refund. This is contingent upon the condition that the execution of digital services has not commenced with the User’s explicit prior consent. If the services have started, the right to a refund may be forfeited. For all business-to-business (B2B) transactions, it is clearly stated that all payments made are strictly non-refundable, final, and absolute. The User explicitly agrees to waive any right to initiate administrative chargebacks without first utilizing our established internal dispute resolution protocol. This protocol is designed to address any issues before escalating to chargeback claims. Should the User fail to settle any outstanding invoices within the specified timeframes, an automatic suspension of services will occur. In addition, statutory interest charges will begin to accrue on the unpaid balances, which underscores the importance of adherence to payment deadlines to avoid service interruptions and additional costs. 6. DATA GOVERNANCE, PRIVACY INTEGRATION, AND ALGORITHMIC MONITORING The collection, processing, dissemination, and archival retention of user data are meticulously regulated under our comprehensive data governance framework, which is designed to uphold the highest standards of data protection. The Company strictly adheres to the principle of data minimization, as articulated in Article 5 of the General Data Protection Regulation (GDPR). This means that we only collect and retain the minimum amount of personal data necessary to fulfill our operational purposes and legal obligations. To ensure the continuous stability, security, and compliance of our platform with statutory requirements, we employ sophisticated telemetry arrays and behavioral logging mechanisms. These advanced technologies are utilized to detect unusual patterns of behavior that may indicate systemic exploitation, fraudulent payment routing attempts, or unauthorized intrusion vectors. By participating in our platform, the User explicitly consents to this programmatic oversight, acknowledging that it is a critical component for maintaining a secure and resilient network infrastructure that protects both user data and the integrity of our operations. In accordance with the current data protection laws in the UK and EU, Users possess distinct actionable rights concerning their personal datasets. These rights encompass the ability to access their data, request rectification of inaccurate information, pursue erasure of their data (commonly referred to as the “right to be forgotten”), and facilitate data portability to other services or platforms. To exercise these rights, Users are required to submit a formal request to our designated Data Protection Officer (DPO). The Company is committed to processing all verified requests within the legally mandated timeframe of thirty calendar days. However, please note that certain legitimate corporate overrides may apply for instance, the necessity to retain specific records for financial auditing purposes, fraud prevention initiatives, or legal defense requirements. It is important to clarify that any non-personal, anonymized, or aggregated datasets generated during the User’s engagement with our platform are the sole property of the Company. Such data may be applied for various purposes, including but not limited to systemic optimization, the development of machine learning training models, and commercial analytics, all of which can be conducted without restriction. This enables us to continually enhance our services and the overall user experience while safeguarding individual privacy. 7. LIABILITY LIMITATIONS, CONGRUENT DAMAGES, AND CORPORATE INDEMNITY To the fullest extent allowed by applicable law, with the sole exceptions of situations involving gross negligence, intentional wrongdoing, or legal liability resulting from personal injury directly tied to the Company’s failure to act, the Company, along with its directors, employees, and technological partners, cannot be held responsible for any indirect, incidental, special, consequential, or punitive damages. This comprehensive exclusion covers, but is not limited to, lost profits, interruptions in business operations, declines in revenue, loss or corruption of data, damage to reputation, and costs incurred in seeking alternative infrastructure solutions. This clause holds true regardless of whether the Company was made aware of the possibility of such damages arising under theories of tort, contract, or strict liability. The User acknowledges that their engagement with the platform is entirely at their own legal and commercial risk, and they accept full responsibility for any consequences that may arise. In addition, the total financial liability of the Company for any specific legal claim that may arise from or relate to the use of this platform irrespective of its classification as a contract or tort claim is strictly limited. This limit shall never exceed the total amount that the User has actually paid to the Company in the three months leading up to the event in question that gave rise to the dispute. This limitation is a fundamental, non-negotiable aspect of the risk distribution agreed upon by both parties, and it is a critical condition under which the Company has made the platform accessible to Users. Furthermore, the User explicitly agrees to indemnify, defend, and hold the Company harmless from any claims made by third parties, as well as any regulatory fines, legal fees, and costs for expert witnesses that may arise due to the User’s misconduct while using the platform, any breach of these terms, or any infringement of third-party rights. This obligation to indemnify ensures that the Company is protected from the legal repercussions of actions taken by the User that deviate from the agreed terms of service. 8. SYSTEM MAINTENANCE, AVAILABILITY DISCLAIMERS, AND FORCE MAJEURE The Company is committed to exerting diligent and professional efforts to ensure high availability metrics across all hosting clusters and delivery networks. Despite these endeavors, the User understands and acknowledges that the platform is offered on an ‘as-is’ and ‘as-available’ basis. This means that the Company makes no warranties of any kind, either express or implied, regarding the platform’s functionality or reliability. The Company retains the absolute right to temporarily interrupt access to the platform for necessary purposes, including but not limited to scheduled technical upgrades, routine preventative maintenance, or urgent database enhancements and repairs. In such instances, the Company shall bear no liability for any temporary delays in transactions or pauses in processing that may occur as a result of these operational activities. Furthermore, the Company does not offer any implied warranty of merchantability, nor does it guarantee the platform’s fitness for a particular purpose, or a continuous experience free of errors. In addition, the Company is fully exonerated from its contractual obligations in the event of a Force Majeure occurrence. This term refers to any significant event that is beyond the reasonable control of the Company and may include, but is not limited to, acts of God (such as floods, earthquakes, or severe weather), global pandemics, extensive cyber warfare, attacks on infrastructure supported by state actors, distributed denial-of-service (DDoS) attacks, failures in public telecommunication systems, legislative embargoes, unexpected civil unrest, or catastrophic failures of electrical grids. During the duration of any such catastrophic event classified as Force Majeure, all affected obligations of the Company are automatically suspended. As a result, no penalties or claims for breach of contract can be legitimately made against the Company during this period. Should a Force Majeure event continue without interruption for a period exceeding sixty calendar days, either party has the right to terminate the active engagement with written notice to the other party. This provision is intended to protect both parties from obligations that become impractical or impossible to fulfill under extraordinary circumstances. 9. DISPUTE RESOLUTION, GOVERNING LAW, AND SEVERABILITY COVENANTS Any disputes, controversies, or claims that arise from or are related to this legal instrument—including but not limited to issues concerning its formation, validity, interpretation, performance, or termination shall first be submitted to our internal corporate arbitration office, which is responsible for facilitating amicable mediation. This process aims to promote resolution through dialogue and negotiation. If, after a period of forty-five calendar days from the date of formal notification, the parties involved are unable to reach a mutually acceptable resolution through this mediation process, the dispute shall then be escalated and referred to the competent courts, where it will be definitively resolved according to the prevailing legal standards. This agreement shall be governed exclusively by, and construed in absolute accordance with, the substantive laws of England and Wales for operations based in the UK. Conversely, for operations based in any designated EU member state, the applicable laws of that member state will govern this agreement, with the explicit exclusion of any principles related to conflicts of law that may suggest otherwise. In the event that any specific provision, sentence, or sub-clause of this comprehensive agreement is adjudicated by a court of competent jurisdiction to be unlawful, invalid, or wholly unenforceable, that particular provision shall be deemed severable from the remainder of the document. Such a judicial determination shall not adversely affect the validity, legality, and enforceability of any remaining provisions, which shall remain in full force and effect as if the invalidated provision had never been included. This document represents the entire and integrated agreement between the parties concerning the platform, fully superseding any prior verbal negotiations, written drafts, or informal understandings that may have existed before the execution of this agreement. Furthermore, the failure of the Company to enforce any right or provision stated within these terms shall not be construed as a waiver of such right for the future, and the Company reserves the right to enforce each provision at any time, should it deem necessary. 10. MAXIMUM PROTECTION INSULATION AND SYSTEMIC INTEGRITY SHIELD To ensure an unparalleled level of corporate protection and to fully adapt to the ongoing advancements and changes in international legislation, this document establishes a comprehensive operational framework that serves as a definitive standard for all parties involved. The User acknowledges and agrees that every interaction involving algorithms, automated inquiries, database indexing processes, and various forms of transactional activity will be subject to continuous monitoring. This ongoing surveillance is essential for upholding structural integrity and preventing any potential systemic exploitation that could jeopardize the operational framework or the interests of the stakeholders involved. This proactive alignment with legislative requirements guarantees absolute adherence to all evolving directives governing cross-border markets, thereby creating an impregnable defense mechanism against speculative lawsuits or arbitrary claims arising from regulatory bodies. The parties entering into this agreement explicitly recognize that the distribution of risk articulated within this document reflects a mutually negotiated consensus essential for the economic viability of the services provided. Without this understanding and agreement, the capacity to deliver such services would not be feasible. As a condition of this agreement, the User willingly provides an unwavering and unrestricted waiver of any right to contest the validity or enforceability of the limitation clauses or indemnity provisions outlined herein. This waiver holds true in any and all judicial jurisdictions worldwide, thus reinforcing the binding nature of this agreement. The operational framework established within this document is designed to remain fixed, fully integrated, and dynamically enforceable across all regions, thereby safeguarding the operational security of the network against any forms of cyber disruptions, unauthorized access attempts, or acts of bad faith that could undermine the integrity of the system. Every clause, term, definition, and operational restriction contained in this section forms a cohesive and unified contractual ecosystem. This ecosystem remains intact and operationally effective regardless of any modifications made to accounts or suspensions of user profiles, enduring indefinitely. The Company reserves the unequivocal authority to enact immediate restrictive measures whenever potential administrative threats are identified, thereby ensuring complete corporate insulation and thorough legal protection for all connected stakeholder networks, operational partners, and the underlying technological infrastructures in accordance with prevailing legal statutes.
